BRIEF DESCRIPTION:

In 2014, the Brazilian company Eurofarma entered a process of inorganic growth in Latin America. Based on this, in Peru I entered into negotiations with the REFASA-CARRION Laboratory. 

A preliminary agreement was reached from which the development of the Due Diligence process for the closing of the operation began. Eurofarma hired us to develop the Interim Management function of the General Management until a definitive General Manager was appointed for the new acquisition. Our Interim Management function had to fulfill the responsibilities:

a) The transition management as General Manager from the previous owner to the new General Manager to be incorporated

b) The management of the financial due diligence process that was carried out by the people of KPMG

c) The management of the Due Diligence of operations for the detection of risks and contingencies

d) Personal advice to the shareholders and the Executive Director for Latam of Eurofarma for the final negotiation of the closing of the business purchase operation, even supporting them in the establishment of the final closing value of said operation.

e) It should be noted that the purchase price was reduced by 23% according to the findings of both the operational and financial Due Diligence.
